Prior to establishing T&K, Yohanes was a senior associate at one of leading law firms in Indonesia. He also has experience in working at one of leading law firms in Indonesia that has affiliation with an international law firm. He has advanced knowledge in banking and finance, corporate and M&A, foreign direct investment, mining and natural resources, including regulatory and compliance.

He has assisted for both Indonesian company and foreign clients on a variety of projects and commercial transactions. He has in-depth experience acting for both Indonesian and international clients, among others manufacturer, aviation industry, mining company, venture capital, banking and finance, and state-owned enterprises.

In banking and finance, to name a few, Yohanes has advised and assisted as joint counsel for both the lender and borrower in relation to a loan facility of more than USD300 million (using the APLMA standard format) from one of the top three state-owned banks in Indonesia, to the borrower, one of the largest nickel refining companies in Indonesia which is part of the national strategic project (PSN) stipulated by the Indonesian government. He also has advised and assisted one of the largest property developers headquartered in Japan in relation to the loan facility of more than Rp2.5 trillion for the purpose of acquisition of a subsidiary of one of the largest property developers in Indonesia.

PRACTICE AREAS

His corporate and M&A works include assisting domestic and international clients in the acquisitions of assets and/or shares, from conducting legal due diligence, structuring the transactions, preparation of documentation until the project completion/closing and its post-deal structuring and integration, for clients from various business sectors including mining, energy, manufacturing, trading, and construction. He is also well-rounded advisor for the foreign direct investment works especially in assisting the foreign investors to enter into Indonesia market and establish new companies in Indonesia.

He also regularly the clients in mining natural resources sectors regarding various aspects of the business, including corporate, compliance, environmental, mining rights and acquisitions, legal due diligence, contract negotiation including coal sales contract, for coal and nickel mining companies. His works include assisting the client in regard to loan facility agreement amounting to USD25,000,000 for a coal mining company in Indonesia.

In addition, Yohanes has also assisted domestic and multinational insurance companies in respect of their insurance business in Indonesia, including in the establishment and operation of business entities.

Yohanes has been admitted to practice before the Indonesian courts and is a member of the Indonesian Bar Association (PERADI). Currently he is taking the advanced education of capital market to be a registered capital market legal consultant in Indonesia.

Yohanes holds a Bachelor of Laws degree from the Faculty of Law of Universitas Airlangga.
